Jake M Phillips

Associate

Jake M. Phillips is a senior associate of Katzke & Morgenbesser LLP. Jake provides counsel on executive compensation and employee benefits arrangements to executives, senior management and boards of directors, including individual executive employment contracts, equity-based incentives, deferred compensation and retention, change-in-control and severance arrangements.

Jake has experience counseling clients in a wide variety of contexts, including mergers and acquisitions, initial public offerings, startup and SPAC formations, minority investments, joint ventures and bankruptcies. He has advised executives, boards and both public and privately held companies on executive compensation and employee benefits matters across an extensive range of industries, including financial services, agriculture, retail, manufacturing, energy, real estate, technology and healthcare.

Prior to joining the firm, Jake worked as an associate in the Executive Compensation and Employee Benefits departments of Simpson Thacher & Bartlett LLP, Cravath Swaine & Moore LLP and Dechert LLP, and he was associate general counsel for an SEC-reporting company. Prior to attending law school, he taught English as a foreign language in Cheongju, South Korea, as a grantee of the Fulbright English Teaching Assistant (ETA) Program.
